These Terms of Service (“Terms”) govern your access to and use of the website at moonlighterapps.com (the “Site”) operated by Moonlighter Apps LLC (“Moonlighter Apps,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Separate written agreements (such as statements of work, master services agreements, or licenses) govern paid professional services, deliverables, and software we build for clients. If there is a conflict between those agreements and these Terms regarding the Site itself, these Terms control only for use of the Site.

Eligibility and acceptable use

You may use the Site only in compliance with applicable law. You agree not to misuse the Site, including by attempting to gain unauthorized access, interfering with the Site’s operation, scraping the Site in a way that violates our rights or applicable law, introducing malware, or using the Site to harass others or distribute unlawful content.

The Site and its content (including text, graphics, logos, and design) are owned by Moonlighter Apps or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal or internal business purposes. You may not copy, modify, distribute, sell, or create derivative works from the Site or its content except as permitted by law or with our prior written consent.

Third-party links and services

The Site may contain links to third-party websites or services. We are not responsible for third-party content or practices. Your use of third-party sites is at your own risk and subject to their terms and policies.

Disclaimer of warranties

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOONLIGHTER APPS AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM SOLELY FOR ACCESS TO THE SITE (IF ANY). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

Indemnity

You agree to defend, indemnify, and hold harmless Moonlighter Apps and its officers, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

Termination

We may suspend or terminate access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

Governing law and disputes

These Terms are governed by the laws of the United States and the State in which Moonlighter Apps LLC maintains its principal place of business, without regard to conflict of law principles. You agree that courts located in that state (or the federal courts located there, where jurisdiction permits) have exclusive jurisdiction over disputes arising from these Terms or the Site, and you consent to personal jurisdiction in those courts.

Changes

We may modify these Terms at any time by posting the updated Terms on this page and updating the effective date. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Site.

Miscellaneous

These Terms constitute the entire agreement between you and Moonlighter Apps regarding the Site. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of that provision. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
